Terms of Service

1. Acceptance of Terms

These Terms form a binding agreement between you and Blaick (“Blaick,” “we,” “us,” or “our”) governing your use of our websites, applications, APIs, and related services (collectively, the “Service”). By creating an account, accessing, or continuing to use the Service, you accept these Terms and our handling of data as described in our privacy practices. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

Blaick provides access to artificial-intelligence models and related tools from multiple providers through a single platform. The Service may rely on third-party model providers and other vendors, and features, models, and availability may change over time. We may add, modify, suspend, or discontinue any part of the Service at any time without liability.

3. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You agree to provide accurate information and to keep it current.

4. Acceptable Use

You agree not to use the Service to:

• violate any applicable law or regulation, or infringe the rights of others;
• generate or distribute content that is unlawful, harmful, harassing, or otherwise objectionable;
• attempt to gain unauthorized access to the Service, other accounts, or related systems, or to disrupt or overload the Service;
• reverse engineer, resell, or circumvent usage limits, rate limits, or access controls except as expressly permitted; or
• use outputs in any manner prohibited by our underlying model providers’ usage policies.

We may suspend or terminate access for any violation of these Terms, with or without notice.

5. Subscriptions, Billing & No Refunds

Paid plans, token allotments, and other fees are billed in advance through our third-party payment processor on the terms presented at purchase. Subscriptions renew automatically unless cancelled before the end of the then-current billing period. You authorize us and our payment processor to charge your payment method for all applicable fees and taxes.

All payments are final and non-refundable. We do not provide refunds or credits for any partial billing periods, unused tokens or capacity, downgrades, or for periods in which your account remains open but the Service is unused, except where a refund is required by applicable law.

You may cancel at any time; cancellation stops future renewals but does not entitle you to a refund of amounts already paid. We may change pricing prospectively, with changes taking effect on your next billing period.

6. User Content & AI Output

You retain ownership of the inputs you submit (“Input”), and, as between you and Blaick, you own the outputs generated for you (“Output”) to the extent permitted by our model providers. You are solely responsible for your Input and your use of any Output. You represent that you have the necessary rights to your Input and that your Input and Output do not violate these Terms or any law.

AI Output may be inaccurate, incomplete, or offensive, and may not reflect current or correct information. Output is not professional advice. You are responsible for evaluating and verifying Output before relying on it, and you assume all risk arising from your use of it.

You grant us a limited license to process your Input and Output as necessary to operate, secure, and improve the Service and to comply with law.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Blaick or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you here, we reserve all rights, title, and interest in and to the Service.

8. Third-Party Services

The Service integrates third-party model providers and other services that are subject to their own terms. We are not responsible for third-party services, and your use of them is at your own risk and may be governed by separate agreements.

9. Disclaimer of Warranties

The Service and all Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that Output will be accurate or reliable.

10. Limitation of Liability

To the maximum extent permitted by law, Blaick and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless Blaick and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Input, your Output, your use of the Service, or your violation of these Terms or of any law or third-party right.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Blaick is established, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the courts located there, unless otherwise required by applicable law.
